After reaching the
agreement, the two parties have mutually consented to enter into the contract
with contents as follows:
Article 1 : Contents of
works
Party B gives
consultancy to Party A including following packages :
Package 1: DAILY

To give
consultancy and explanation on various kinds of papers, all enquiries ……….

To
provide all kinds of documents as requested.

To provide
various kinds of forms of administrative documents, forms of contract in
service of the production and business activities of the enterprise.
Package 2: ECONOMY
-
To give
consultancy to the enterprise: New incorporation, division, splitting, merger,
dissolution, change of the contents of the business registration.

To give
legal consultancy, consultancy on domestic and foreign investments.
-
To
negotiate for signing contracts. To draft applications, contracts on the
case-by-case basis
Package 3: PROFESSIONAL
Including package 1, package 2 and services:

To
participate in the defense and protection of rights and interests at the
Peoples’ Courts at all levels.

To give
regular legal consultancy by groups for organizations, individuals in legal
relations in terms of enterprises; labor; commerce; civil matters.

To give
consultancy on capital loan from banks ; debt inversion

To
provides services on accounting and reporting the corporate income tax monthly,
quarterly and yearly…….

To
provide consultancy on searches, registration for the protection of trade
marks, industrial design, inventions …

Article 2 : Service fees
and mode of payment

Package 1 :

VND50,000/month
(Fifty thousand VND per month)

VND550,000/year
(Five hundred fifty thousand VND per annum)
- Package 2 :

VND500,000/month
(Five hundred thousand VND per month)

VND5,500,000/year
(Five million five hundred thousand VND per annum)
- Package 3 :
·
VND1,000,0000/month
(One Million VND per month)

VND11,000,000/year
(Eleven Million VND per annum)
+ Mode of
payment :
The payment will be made in cash or telegraphic transfer
1st time : 30% of the total
value of each package upon signing the contract.
2nd time : at the beginning of
each quarter or once for each three months.

prices of packages afore-stated are only applied to small and medium scale
enterprises which must be members of www.luatsu24h.com)
Article 3 : Duration of the contract implementation
-
The
duration of the contract implementation is 12 months as of the signing date.
Article 4 : Rights and obligations of Party A
-
To
receive the filed copies of dossiers on submitted tax reports, annual financial
statement.
-
To
provide necessary documents at the request of Party B so as to help Party B
implement mutually-agreed works, to
receive documents or contracts upon request.
-
To pay
the service fees in strict accordance with Article 2 of this contract.
-
Not to be
allowed to unilaterally cancel the contract, in the case where Party A
unilaterally cancels the contract, then it will not be refunded the amount of money already prepaid according to
the prescription of Article 2 of this contract.
Article 5 : Rights and obligations of Party B
-
To
receive the service fees timely in strict accordance with Article 2 of this
contract.

To give
consultancy and perform all necessary formalities due to the interests of Party
A.
Article 5 : Governing
provisions
-
This
contract takes effects from the time the two parties have mutually signed and
is terminated when all the works have been fully completed.
-
In the
course of the contract implementation, if there is any entanglement, the
parties shall mutually negotiate for settlement on the basis of good will and
mutual benefit.
-
This
contract is made into two copies of equal legal value, each party retains one
copy for the convenience in the implementation.
